Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and DentShieldAI LLC, a Florida limited liability company ("DentShieldAI," "we," "us," or "our"). These Terms govern your access to and use of the DentShieldAI platform, including all software, reports, alerts, and related services (the "Service").

2. Description of Service

DentShieldAI provides AI-powered financial pattern analysis software designed to help dental practices identify statistical anomalies and risk indicators in their financial transaction data. The Service analyzes data from your practice management software and generates reports highlighting patterns that may warrant further investigation.

3. Account Registration

To use the Service, you must create an account and provide accurate information including your practice name, your name, and a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account at hello@dentshieldai.com.

You represent that you are authorized to enter into this agreement on behalf of your dental practice and that your use of the Service complies with all applicable laws.

4. Subscription Plans and Billing

DentShieldAI offers the following subscription plans:

• Monthly Plan: $299.00 per month, billed on a recurring monthly basis.
• Annual Plan: $3,000.00 per year, billed once annually (equivalent to $250/month).

All payments are processed securely by Stripe. By providing your payment information, you authorize DentShieldAI to charge your payment method on a recurring basis in accordance with your selected plan. Subscription fees are charged at the beginning of each billing period.

Prices are exclusive of any applicable taxes. You are responsible for all taxes associated with your subscription.

5. Free Trial

New customers may be eligible for a 14-day free trial of the Service. No charges will be made during the trial period. At the end of the trial, your selected subscription plan will begin and your payment method will be charged automatically unless you cancel before the trial ends. Only one free trial per practice is permitted.

6. Cancellation

You may cancel your subscription at any time by contacting us at hello@dentshieldai.com. Upon cancellation:

• Your access to the Service will continue through the end of your current billing period.
• No further charges will be made after the current period ends.
• For annual subscriptions cancelled mid-year, access continues through the end of the paid annual period.

7. Refund Policy

All subscription fees are non-refundable except as required by applicable law or at DentShieldAI's sole discretion. If you believe you were charged in error, contact us within 30 days of the charge at hello@dentshieldai.com and we will review your case. Free trial users who are charged due to a technical error will receive a full refund upon request.

8. HIPAA and Business Associate Agreement

DentShieldAI is a Business Associate under HIPAA. As a condition of using the Service, dental practices are required to enter into a Business Associate Agreement (BAA) with DentShieldAI before connecting or uploading any practice data that may contain Protected Health Information (PHI). To execute a BAA, contact hello@dentshieldai.com. Use of the Service without a signed BAA where PHI is involved is a violation of these Terms and may be a violation of HIPAA.

9. Data Ownership and Use

You retain full ownership of all practice data you upload or connect to the Service. DentShieldAI does not sell your practice data to third parties. We use your data solely to provide the Service and, in anonymized and aggregated form, to improve our detection models. Upon cancellation, you may request deletion of your data by emailing hello@dentshieldai.com.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to make accusations of criminal conduct against any individual without proper legal counsel
• Share your account credentials with unauthorized third parties
• Upload data belonging to practices other than your own without authorization
• Attempt to circumvent or interfere with the security features of the Service

11. Intellectual Property

The Service, including all software, algorithms, detection models, user interfaces, and content created by DentShieldAI, is owned by DentShieldAI LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription period.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DentShieldAI and its officers, employees, and agents shall not be liable for:

• Any failure to detect embezzlement, fraud, or financial irregularities in your practice
• Any legal, employment, or disciplinary action you take based on the Service's output
• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of revenue, profits, data, or goodwill

In no event shall DentShieldAI's total liability to you for all claims arising out of or related to the Service exceed the total amount you paid to DentShieldAI in the twelve (12) months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. DentShieldAI does not warrant that the Service will be uninterrupted, error-free, or that it will detect all instances of fraud or embezzlement. The Service is a risk-detection tool, not a guarantee against financial loss.

14. Termination

DentShieldAI reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination for cause, no refund will be issued. You may also terminate your account at any time per Section 6 above.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration administered in Hillsborough County, Florida, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

DentShieldAI may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with updated Terms, you may cancel your subscription before the effective date.
